Welcome to SmartCity Growth AI Automation ("Platform", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our SaaS software platform, website (https://grow.infusionics.com), APIs, and associated web engineering and AI consulting services.

By registering an account, subscribing to a plan, or contracting our services, you agree to be legally bound by these Terms. If you do not agree, please do not use the Platform.

1. Description of Service

SmartCity Growth AI Automation provides an all-in-one software suite for search engine intelligence, automated blog drafting, consensus keyword analysis, backlink campaign workflow automation, search console indexing, and optional custom web engineering (including bespoke website builds and custom AI chatbots).

2. Account Registration and Security

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for safeguarding your login credentials and for all activities that occur under your account.
• Notify our support team immediately if you suspect unauthorized access to your account.

3. Acceptable Use and Cold Outreach Policy

Subscribers using the autonomous outreach suite and connected SMTP servers agree to adhere to strict ethical and legal email standards:

• Compliance: All cold emails dispatched via subscriber SMTP servers must comply with applicable regulations including the CAN-SPAM Act, CASL, and GDPR guidelines.
• Prohibited Content: You may not use our services to dispatch deceptive, phishing, harassing, defamatory, or unlawful communications.
• Sender Limits: Users must respect daily sending thresholds configured on their accounts to protect sender reputation and prevent mailbox suspension.

4. Intellectual Property & Content Ownership

• Your Content: You retain 100% intellectual property ownership of all blog articles, keywords, campaign pitches, and data generated or published using your account.
• Platform IP: The SmartCity Growth AI Automation platform codebase, algorithms, user interfaces, branding, and proprietary consensus methodologies remain the exclusive property of Infusionics.

5. Subscription, Billing, and Cancellations

• Recurring Fees: Access to tiered features is billed on a recurring subscription basis (monthly or annually) as indicated during signup.
• Cancellation: You may cancel your subscription at any time via the Billing portal. Cancellation takes effect at the conclusion of your current paid billing period.
• Refunds: Payments are non-refundable once service periods begin, except where explicitly required by law or indicated in writing for custom engineering contracts.

6. Custom Development & AI Chatbot Engagements

When contracting custom engineering projects (such as custom website enhancement, bespoke application development, or custom AI chatbots), individual project scopes, milestones, and deliverables are defined in separate statement-of-work agreements linked via our inquiry portal.

7. Disclaimer of Warranties & Search Engine Disclaimers

The service is provided on an "as is" and "as available" basis. While our platform utilizes state-of-the-art consensus algorithms and best-practice protocols, search engines (including Google and Bing) continuously adjust ranking signals; therefore, specific organic ranking positions or search volume guarantees cannot be made.

8. Limitation of Liability

To the maximum extent permitted by law, SmartCity Growth AI Automation and its parent company shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from your use of the platform, third-party email provider suspensions, or search algorithm fluctuations.
